Terms of Service.
The agreement between you and Adria Software LLC governing your use of Verlane.

These Terms of Service ("Terms") govern your access to and use of Verlane, an AI-run security product owned and operated by Adria Software LLC ("Adria," "we," "us"). By accessing the website or using the Verlane console, you agree to these Terms. If you are entering into them on behalf of an organization, you represent that you have authority to bind that organization.
The service
Verlane watches the email and load activity of carriers, brokers, and 3PLs, fuses cyber and cargo-fraud signals into incidents, explains them in plain English, and drafts recommended response actions. Verlane never executes an irreversible action automatically. A human approver must approve any response action — such as an account reset, mailbox-rule removal, carrier block, or customer notification — before it runs. This human approval gate is a permanent property of the product.
Accounts and access
Access to the console is granted by invitation or by claiming a posture report. You are responsible for keeping your credentials confidential, for all activity under your account, and for the accuracy of the information you provide. You must promptly notify us of any unauthorized use. We may suspend or terminate access that violates these Terms or that we reasonably believe threatens the security of the service or other users.
Acceptable use
You agree to use Verlane only for the lawful protection of email and freight operations you are authorized to secure. You will not attempt to access another tenant's data, probe or disrupt the service, reverse-engineer it except as permitted by law, misuse its outputs, or use it to violate the rights of others or any applicable law. You are responsible for obtaining any authorizations needed to connect and monitor the environments you add.
Advisory disclaimer
The security posture report and cyber-insurance questionnaire are automated advisory assessments — not a certified audit and not a guarantee of insurance coverage or eligibility. They are generated from self-reported information and provided for informational purposes only. You remain responsible for your own security decisions and for the accuracy of the information you submit.
Customer data and privacy
You retain all rights to the data you provide and the data from environments you connect. You grant Adria the limited rights needed to process that data to provide and secure the service. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms.
Third-party services
Verlane connects to third-party platforms (such as Google Workspace and Microsoft 365) and relies on third-party providers (such as cloud hosting and an AI provider) to operate. Your use of those platforms is governed by their own terms, and we are not responsible for their availability or actions.
Disclaimers and limitation of liability
The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Verlane reduces but cannot eliminate the risk of fraud, account takeover, or loss, and we do not warrant that it will detect every threat. To the maximum extent permitted by law, Adria will not be liable for indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim relating to the service is limited to the amount you paid us for it in the twelve months before the claim.
Changes and termination
We may update these Terms as the product and the law evolve; material changes will be reflected in the "Last updated" date above and, where appropriate, communicated to you. We may modify or discontinue features over time. You may stop using the service at any time, and either party may terminate as set out in any separate written agreement between us.
Governing law
These Terms are governed by the laws of the United States and the state in which Adria Software LLC is organized, without regard to conflict-of-laws rules. Any separate written agreement you sign with Adria controls to the extent it conflicts with these Terms.
